Terms of Service

Effective Date: July 1, 2026

1. Acceptance of Terms

By accessing or using the Veru365 platform, including our website and Progressive Web Application (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms are a legally binding agreement between you and Veru 365, LLC (“Veru365,” “Company,” “we,” “us,” or “our”).

2. Description of Service; Relationship With Your Partner Firm

Veru365 provides a white-labeled, AI-powered financial engagement and education platform, including financial analysis tools, portfolio and account tracking, a document vault, AI-assisted chat, and educational content related to investing, taxes, and personal finance.

The Service is made available to you through a financial institution or advisory firm that has licensed the Service from us (your “Partner Firm”). Your Partner Firm controls certain aspects of your access to the Service, including issuing your invitation to the Service and the ability to deactivate your account. These Terms govern your direct relationship with Veru365 regarding your use of the Service. Your relationship with your Partner Firm, including any advisory relationship, is governed separately by your agreement with your Partner Firm.

3. Important: Not Investment Advice

Veru365 is not a registered investment adviser under the Investment Advisers Act of 1940 or any applicable state law, and nothing in the Service constitutes an offer to provide investment advisory services by Veru365. Content and AI-generated output provided through the Service, including financial planning tools, investment opportunity analysis, portfolio screeners, and tax-related content, are for educational and informational purposes only. They are not personalized investment, tax, or legal advice, are not a recommendation to buy or sell any security, and are not a solicitation of any investment, unless and to the extent separately identified as advice provided directly by a licensed professional at your Partner Firm outside the automated features of the Service.

4. Eligibility

You must be at least 18 years of age, a resident of the United States, and have been invited to use the Service by a Partner Firm to use the Service. By using the Service, you represent and warrant that you meet these requirements.

5. Account Registration

Access to the Service requires creating an account through our third-party authentication provider, Auth0. You agree to provide accurate, current, and complete information and to keep it up to date. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account at support@veru365.com.

6. AI-Generated Content Disclaimer

Please read carefully before relying on any AI-generated output.

AI-generated outputs, including financial planning outputs, scoring, modeling, tax-related content, and any AI-generated summary shared with your Partner Firm, are educational only and do not constitute financial, investment, tax, or legal advice.

Past performance does not guarantee future results. Historical data, returns, or performance metrics are provided for informational purposes only.

Monte Carlo simulations, projections, financial readiness scores, and forward-looking statements are projections only and are not guarantees of any future outcome. Actual results may differ materially.

AI models may produce inaccurate, incomplete, or outdated information, including when extracting data from documents you upload. Always verify AI-generated output, and any data auto-populated from your documents, before relying on it, and consult your Partner Firm’s licensed professionals or other qualified professionals before making financial, tax, or legal decisions.

7. Investment Risk Disclaimer

All investments involve risk, including the possible loss of the entire principal invested. The value of investments can go down as well as up. Diversification does not guarantee a profit or protect against loss. Nothing in the Service should be construed as a guarantee of any specific outcome or profit. You should consult a licensed financial professional at your Partner Firm before making any investment decision.

8. Insider Trading Data & Public Information Only

Certain Service features (including the insider buying screener and related analysis tools) reference insider transaction data derived solely from publicly available filings made with the U.S. Securities and Exchange Commission, including Forms 3, 4, and 5 filed under Section 16 of the Securities Exchange Act of 1934. Veru365 does not possess, seek, or trade on Material Non-Public Information (“MNPI”), and no content on the Service should be construed as derived from or containing MNPI.

You agree not to use the Service, or any data obtained through it, to engage in insider trading, market manipulation, or any other violation of securities laws. Reliance on public-filing data for investment decisions is at your own risk, and Veru365 makes no representation as to the completeness or timeliness of third-party filing data.

9. Third-Party Services

The Service integrates with third-party providers to deliver its functionality, including Plaid (financial account connectivity), Persona (identity verification), Anthropic and OpenAI (AI models powering chat and analysis), Google Vertex AI (AI model inference), SendGrid and Twilio (email and SMS), and Sentry (error monitoring), as well as, where your Partner Firm elects to connect them, CRM and communications systems such as Wealthbox, Salesforce, HubSpot, RingCentral, and Google Calendar. Your use of the Service may be subject to the terms and privacy policies of these providers. We are not responsible for the actions, content, or policies of any third-party service. Your use of third-party services is at your own risk.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes, among other things, the categories of information we collect, how we use it, and the circumstances under which information you provide is made available to your Partner Firm. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

You retain ownership of the messages, documents, and other content you submit to the Service (“User Content”). You grant Veru365 a limited, non-exclusive license to process, store, and analyze User Content solely to operate the Service, provide AI-generated responses, and monitor and improve the quality, safety, and accuracy of our AI models. We do not sell User Content or use it to train AI models on behalf of, or for the benefit of, any third party outside of operating the Service.

11. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws;
  • Attempt to gain unauthorized access to any part of the Service or its systems;
  • Scrape, crawl, harvest, or otherwise systematically extract data from the Service without our written consent — including through automated bots, scripts, or AI/LLM agents, and including for the purpose of training, fine-tuning, or building a competing or derivative machine learning model
  • Reverse engineer, decompile, or disassemble any portion of the Service;
  • Transmit any malware, viruses, or other harmful code through the Service;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Use the Service to engage in market manipulation or any other fraudulent financial activity; or
  • Redistribute, resell, or sublicense any part of the Service without written authorization.

12. Intellectual Property

All content, features, and functionality of the Service – including but not limited to text, graphics, logos, icons, images, software, and data – are the exclusive property of Veru365 or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.

13. Feedback

If you choose to provide us with suggestions, ideas, or other feedback about the Service, you grant us a worldwide, royalty-free, perpetual license to use that feedback for any purpose connected with operating and improving the Service, without any obligation to compensate or credit you.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Veru365 and its officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Service.

Except for liability that cannot be limited under applicable law, our total liability to you for all claims arising out of or relating to the Service will not exceed the greater of (i) the amount you paid us in the twelve months preceding the claim, or (ii) one hundred dollars ($100).

Nothing in these Terms limits any liability that your Partner Firm may have to you under your separate agreement with your Partner Firm or under applicable law governing the advisory relationship.

15. Indemnification

You agree to defend, indemnify, and hold harmless Veru365 and its officers, directors, employees, and agents from claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms, (b) your violation of applicable law, or (c) your fraudulent or unauthorized use of the Service.

16. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms, if required by your Partner Firm, or if your Partner Firm’s agreement with us ends. Upon termination, your right to use the Service will cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Utah, and you irrevocably consent to personal jurisdiction and venue there.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the Effective Date above and provide notice by email or through the Service at least 15 days before the changes take effect. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
